Associate General Counsel for Philanthropy and Taxation Howard University is seeking a qualified legal professional to serve as Associate General Counsel, focusing on development, fundraising, taxation, and philanthropic activities. Principal Accountabilities Offer advice and counsel on a wide range of matters related to the endowment, restricted gifts, taxation, and real estate, working closely with Development & Alumni Relations, Real Estate, and Finance. Draft gift agreements and structure and negotiate capital, endowed, and planned gifts, including gifts of non‑marketable assets. Provide counsel on tax issues, reporting obligations, and administration of testamentary gifts from trusts and estates, and advise on fundraising initiatives and the University’s gift‑planning programs. Advise on endowment laws, restricted funds analysis, cy pres issues, taxation, investments, fiduciary matters, and stewardship. Assist Human Resources with pension and 403(b) committee matters. Review claims and matters that may become legal claims, preparing related correspondence. Prepare and supervise the preparation of legal documents such as pleadings, motions, responses, agreements, opinions, and advisory memoranda. Represent the University in quasi‑legal proceedings in District of Columbia courts, federal courts with jurisdiction over DC matters, hearings, meetings, and other forums. Draft and negotiate commitments involving University resources, principally settlements of claims, and review documents for legal implications and policy questions. Respond to University officials’ requests for advice, staying current on emerging legal developments in taxation, gifts, donations, and related issues. Perform other job‑related duties as assigned. Core Competencies Ability to counsel on tax issues, reporting obligations, and gift‑planning programs. Ability to review contracts for accuracy, sufficiency, and compliance with applicable law. Strong research and analytical skills on varied legal issues. Excellent written communication: drafting persuasive, substantiated legal documents. Effective oral communication and negotiation skills. Strong verbal and written communication, including proficiency in Word, Excel, and PowerPoint. Ability to plan, supervise, and execute assignments with minimal guidance. Ability to work productively under pressure, meet deadlines, and collaborate with colleagues. Skill in providing guidance and direction to others. Ability to establish and maintain effective, harmonious relationships with faculty, staff, students, and external stakeholders. Minimum Requirements Juris Doctor from an accredited law school and five years of post‑JD legal experience, including at least three years in substantial gift, taxation, and/or nonprofit practice. Strong academic record; excellent oral and written communication skills. Membership or eligibility for membership in the District of Columbia Bar.
