Overview

Legal & Compliance Analyst at Organon Brasil. The role supports the Legal & Compliance department, reporting to the Legal & Compliance Lead, overseeing daily departmental operations, vendor relationships, payments, and regulatory compliance to optimize workflows and support commercial and operational initiatives.

Responsibilities
  • Company Secretarial Matters: Handle extremely sensitive matters, oversee Brazilian entities' secretarial matters, ensure compliance with local regulatory requirements, and coordinate with external Paralegal/counsel to submit and register corporate documents with Brazilian authorities (e.g., Board of Trade, Federal Revenue, Brazilian Central Bank) under direction of the Legal & Compliance Lead.
  • Contracts: Draft and negotiate ordinary agreements using template contracts (service agreements, CDAs, general contracts supporting compliance activities such as sponsorships and donations), rental and lease agreements; review clauses with counterparty; support internal clients and maintain organized records of contractual documents.
  • Power Of Attorneys: Draft and update PoAs for Brazilian legal entities, ensure proper formalities (certification/notarization), maintain files, and respond to internal inquiries regarding routine legal matters involving representation.
  • Litigation Support: Provide litigation support under supervision for civil, labor, and tax matters; coordinate with outside counsel; conduct legal research; manage documents; prepare for hearings/depositions; maintain internal/external litigation reports and review external counsel invoices.
  • Compliance: Assist in Third-Party Due Diligence; develop guidelines and training materials for policy dissemination; ensure compliance with internal processes and local regulations; maintain corporate records and promote robust compliance culture.
  • Legal Operations Management: Oversee department operations in Brazil, manage vendor relationships, negotiate contracts/proposals, ensure timely payments, and implement processes to improve efficiency and compliance.
Education, Experience & Skills
  • Law degree.
  • Experience in a corporate legal department and/or law firm.
  • Portuguese – fluent; English – advanced; Spanish – optional but a differentiator.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple tasks and priorities; high integrity and ethical standards.
  • Attention to detail and strong organizational skills; ability to work independently and in a team; maintain highly confidential information.
  • Proactive approach to identifying and addressing legal and compliance issues; strong analytical and problem-solving abilities.
Preferred Education, Experience & Skills
  • Registration with the Brazilian Bar Association (OAB).
  • Experience in the pharmaceutical industry and familiarity with anti-bribery and anti-corruption laws.
