Responsibilities
- Draft and negotiate transactional and product agreements, amendments, and related documents such as guarantees, collateral, and notices;
- Draft and negotiate service agreements, amendments, and related documents such as notices and other communications;
- Prepare corporate legal documents and amendments for Banco Société Générale Brasil S.A. group in Brazil such as by-laws, minutes of board and director meetings, election of directors, power of attorney, and all related documents and processes needed for filing and registration;
- Regularly follow up and report on new legislation/regulations and jurisprudence relevant to Banco Société Générale Brasil S.A;
- Monitor and report the status of legal claims (civil, labor, tax of administrative or judicial nature) in collaboration with external counsel; participate in drafting and reviewing procedural documents related to legal claims;
- Provide general legal advice on regulatory, corporate, and litigation matters as needed;
- Prepare and deliver internal reports related to legal fees, regulatory updates, legal claims, and others as needed;
- Support members of the Legal Department in all demands as needed.
Profile Required
- Brazilian Law degree;
- Brazilian Bar Exam and registration before the "Ordem dos Advogados do Brasil" (OAB) in São Paulo/SP;
- Prior experience as in-house counsel in financial institutions, companies, or law firms;
- Fluent English.
