**ROLE DESCRIPTION SUMMARY**SES Brazil is looking for a new Legal Counsel to join Legal and Regulatory International Team providing assistance in all legal and contractual matters.In this role, you will be one of the key points of contact for all commercial legal issues in the Latin America and North America regions for SES Networks and Video (the “Sales Region”). You will provide critical support primarily to the Sales Region (and to other regions as needed) by effectively drafting, negotiating, and finalizing customer contracts and associated agreements and documents in a timely fashion and with the guidance of colleagues in the Americas Legal commercial team.Joining our team means joining a group of highly engaged and ambitious colleagues based around the world. We keep high ambition for quality, integrity, collaboration and professionalism but also flexibility and empowerment.**PRIMARY RESPONSIBILITIES / KEY RESULT AREAS**- Together with other team members, structure, draft, negotiate, and finalize satellite capacity and managed services agreements (e.g., transponder lease agreements, value-added service agreements, end-to-end service solution agreements) in a professional and timely manner in response to customer service requests generated by the Sales Region- Regular interface with Sales, Commercial, Asset Management, Sales Engineering, Finance, Regulatory, Spectrum, and Tax departments, on all legal matters associated with commercial agreements and ensure that contract terms are accurately captured in company contract management database- Interpret and summarize rights and obligations under existing agreements- Provide assistance with special projects as needed (e.g., satellite-specific contract review and analysis in support of SES and O3b fleet deployment plans and satellite contingency plans)- Draft and negotiate, as appropriate, other agreements, such as term sheets, consultancy contracts, assignment agreements, NDAs, agency type of arrangements, etc.- Liaise with specialized outside legal counsel and manage outside legal counsel on an as-needed basis- Proactively identify legal issues and risks for management consideration- Provide corresponding counsel and advice regarding such issues and risks, including the provision of appropriate risk mitigation strategies- Represent SES to outside counsel on specialized matters, including public procurement laws, local laws, litigation and international law- Manage dispute resolution matters related to customer contracts and other activities- Provide sole legal support in assigned office and, as such, may also support a variety of local initiatives and requirements (e.g., local court appearances, negotiations related to office lease and other local business needs)**COMPETENCIES**- Excellent commercial transaction negotiation and English and Portuguese language drafting skills- Ability to maintain high level of legal risk mitigation for SES Networks and Video- Ability to work across multi-function, multi-level, and multi-cultural groups; must be a team player- Pro-active and independent attitude and result oriented approach- Must have a firm understanding of business process flows- Strong ability to manage time, set priorities and work independently in an international oriented and demanding commercial environment- Ability to work accurately and in an organized manner with attention to detail- Familiarity with or ability to acquire knowledge of the regulatory and institutional frameworks applicable to SES Networks’ and Video’s activities in the Sales Region**QUALIFICATION & EXPERIENCE**- University Law degree- 5 years relevant legal experience in international environment, preferably in the telecommunications industry or law firm- Excellent oral and written communication (including drafting and negotiating) skills- Experience with international oriented and demanding commercial environment**OTHER KEY REQUIREMENTS / COMMENTS**- Fluency in English and Portuguese languages- Ability to travel domestically or internationally up to 10% of the time**WHAT'S IN IT FOR YOU**:- Flexible working policy- Bonus and equity plans- Comprehensive and competitive benefits plan- A range of wellness activities and employee assistance programs- An employer that values all aspects of Diversity and respects every individual’s story**GOOD TO KNOW**SES is an Equal Opportunity Employer, committed to workplace diversity & inclusion.
