**Job Summary**The “Senior Legal & Compliance Counsel - Brazil” is the dedicated expert responsible for delivering effective and efficient advice and support on corporate legal, corporate governance, business conduct compliance, regulatory, transactional and general legal matters relating to the entities and operations of the SCOR Group in Brazil (the “SCOR Brazil entities”).They will report directly to the Head of Legal & Compliance - Brazil.**Key duties and responsibilities- Provide advice, assessment, guidance, and support to the SCOR Brazil entities on regulatory, corporate legal and governance matters (e.g., advice on corporate law questions, compliance with regulatory requirements affecting the governance or the operations of the SCOR Brazil entities etc., identification and analysis of legal or regulatory changes, preparation and review of corporate acts, legal opinions, defences, appeals and arguments, including in administrative proceedings of SUSEP etc.)- Provide support to ensure appropriate governance processes for the Board of Directors and its Committees (as applicable) of the SCOR Brazil entities, including all necessary services (e.g., preparation of meeting calendar and agendas, documentation, legal motions, minutes, filings with company registrars)- Provide support, legal advice and assistance to management and the various units of the SCOR Brazil entities on legal, business conduct and regulatory issues including preparation of meetings with internal and external stakeholders, reports and statistics relating to legal and regulatory matters, advice and support on (re)insurance business conduct legal requirements and related risk mapping activities- Perform or participate in feasibility studies of structural or organizational changes involving the Brazil entities, supervise and secure the implementation of the same following local Board, Executive Management and/or Group approval, provide corporate legal support in conjunction with Group-wide legal initiatives involving SCOR Brazil entities- Provide legal advice and support to the SCOR Brazil entities’ (re)insurance business activities, including the review, drafting and negotiating of (re) insurance contracts and other commercial agreements relating to the Brazil entities’ (re)insurance activities (e.g., (re)insurance clauses, terms and conditions, framework agreements with brokers, agreements with underwriting agents, Managing General Agents etc., with support from the P&C / L&H Legal Counsels outside Brazil as necessary or appropriate)- Participate as topical expert for direct insurance in Group and P&C / L&H business unit projects including support on developing strategy, due diligence, drafting applicable documents, liaising with SCOR internal and external stakeholders, as may be required- Independently research and investigate legal, compliance and regulatory issues and development, analyse their impact for the SCOR Brazil entities, draft, prepare, file organise and distribute legal documents with regard to SCOR Brazil entities’ activities (and, as time permits other SCOR direct insurance carriers)- Support, advise and collaborate with relevant stakeholders from the SCOR Brazil entities such as the Compliance and Risk Management function, and Group and P&C / L&H business unit as applicable, on the development and implementation of policies, guidelines and procedures relating to regulatory, corporate governance and (re)insurance business conduct related topics (e.g., licensing matters, sanctions and embargoes, anti-money laundering & terrorism financing, anti-bribery, anti-fraud, conflicts of interest, data protection and privacy, anti-trust and competition, reputational risks and ethics as may be requested from time to time) and provide support with training on such matters as required from time to time.- Provide legal advice and assistance in other areas of law, such as administrative, labour or social security law, anti-trust, trademarks and patents, electronic and consumer law, as may be required from time to time- Monitor and carry out administrative procedures relating to the SCOR Brazil entities (e.g., before Real Estate Registry Offices, Board of Trade, Police Stations, SUSEP etc.)The job holder will exercise independent action in the development of their work, is expected to actively collaborate with all members of the Brazil Legal & Compliance function and will receive guidance from the Head of Legal & Compliance - Brazil.**Required experience & competencies****Experience**- Minimum of 10 years of experience in legal practice and/or commercial environment (Legal or Compliance department), with a material exposure to the (re)insurance business- Specialized in Business Law- Expertise in insurance and reinsurance law**Personal Competencies**- Independence - Ability to take the initiative and to act independently when needed, while keeping relevant stakeholders involved and operating withi
