Key Responsibilities:

  • Draft, review, and negotiate a range of commercial agreements, including master services agreements, client engagement letters, supplier/vendor agreements, software development contracts involving AI and GenAI, complex commercial agreements where pricing is linked to performance or business outcomes, data processing agreements, non-disclosure agreements, non-reliance letters, public sector RFPs, and conduct legal risk assessments in accordance with policies and procedures.
  • Support contract escalations and approval processes, ensure compliance with local laws and internal governance frameworks, coordinate with internal stakeholders and external counsel as necessary, assist in developing and refining legal templates and best practices, analyze contracts involving intellectual property and software development, data privacy and security, value-based pricing arrangements tied to performance or KPIs, and public sector RFPs and compliance with applicable procurement laws.
  • Manage contract matters independently within established frameworks, escalate sensitive or high-risk matters appropriately, demonstrate strong attention to detail, especially in redlining, version control, and adherence to policies and frameworks, participate in internal and external meetings with business teams and clients, and maintain a high level of responsiveness, providing timely updates and risk-based guidance to internal stakeholders.
