**The Work You’ll Do**:
The Counsel is primarily responsible for negotiating and processing client contracts, negotiating agreements with vendors, performing legal research, preparing legal documents, protecting the company’s intellectual property, and other various responsibilities.

**_ What are my responsibilities going to be, more specifically?_**
- Negotiate contracts between the Company and its clients
- Do research and analyze applicable law sources
- Prepare legal documents, including copyright registrations, trademark registrations/renewals
- Review Company documents for use of proper copyright, trademark and disclaimer notices
- Negotiate agreements with Company vendors
- Maintain document files and coordinating all contracting process flow with respect to clients and vendors
- Negotiate NDAs
- Act with integrity and demonstrates ethical behavior in all matters with all stakeholders
- Take full responsibility for ensuring internal and external customer satisfaction
- Demonstrate initiative, drive and determination to achieve results, success and growth
- Maintain a high level of energy, enthusiasm, engagement and commitment to action
- Develop trust and models open, candid, respectful communication and collaborative teamwork
- Demonstrates a high degree of self-awareness and commitment to personal development and learning

**What We Need From You**:

- Juris Doctor
- Admitted to practice law in at least 1 state
- Solid understanding of applicable contract law and related contract issue.
- Proven negotiating skills.
- Solid understanding of software and SaaS licensing practices including related contractual terms.
- 4 years or more of contracting experience
- Basic understanding of intellectual property law
- Minimal travel required to Sovos locations and events
