**Description**:** We are searching for the best talent for a Counsel position in Alphaville, Brazil (hybrid).**

We are looking for an experienced and accomplished Counsel to join our team in Brazil. You will have the chance to positively influence Corteva´s Agriculture Business, serving as Counsel for Seeds Licensing Business, with focus but not limited to our Seeds & Biotechnology business.

**Responsibilities**:

- Provide strategic and operational legal counsel related to matters involving our Seeds & Biotechnology business, including:

- Regulatory & Stewardship
- Product Quality and Liability issues
- Seeds sites issues
- Prepare, review, and negotiate agreements, including:

- Agreements with Growers
- Agreements with Third Parties for Research and development
- Complex commercial Seeds & Biotech Licensing Agreements
- Other strategic agreements related to Seeds & Biotech business when needed, including NDAs
- Serve as a counsel to pre-litigation and litigation matters when necessary, and use litigation analysis to improve our business and prevent new lawsuits
- Engage in trade associations to shape the industry environment
- Collaborate with essential partners to identify legal priorities and ensure compliance.
- Support product launches and go-to-market models
- Engage with the business and global functions to ensure compliance and develop appropriate procedures
- Provide training to local teams on key legal topics
- Support acquisition and divestiture projects when necessary
- Optimize systems and processes for effective contract review and negotiation
- Draft and negotiate critical contract templates and standardize department processes

**Qualifications**:
- Experience working in-house in large and/or complex and multinational organizations is highly desired
- Knowledge of agriculture industry is strongly preferred
- Fluency in written and spoken English
- Knowledge of Spanish is a plus
- LLM in US, UK, or similar jurisdiction or over a year of experience working or studying abroad in English speaking countries are highly desired
- Ability to counsel and influence senior management
- Extensive commercial experience in Brazil is highly desired
- Detail-orientation and acquaintance with project oversight is an advantage
- Experience with and knowledge of technology tools
