**Key Responsibilities**:

- Assist with corporate governance matters, including the preparation of board and shareholder meeting documentation, minutes, resolutions, and statutory filings.
- Draft, review, and negotiate a wide range of legal and corporate documents, including service agreements, shareholder agreements, corporate policies, and internal governance frameworks.
- Support the Legal & Compliance Director in managing the company’s group structure and maintaining corporate records across multiple jurisdictions.
- Liaise with external counsel, regulatory authorities, corporate service providers, and other stakeholders on corporate and compliance-related matters.
- Monitor developments in corporate, commercial, and regulatory law and advise on their impact to the business.
- Assist in due diligence exercises for group projects, new ventures, and regulatory submissions.
- Ensure accurate and timely filing of statutory documents and maintenance of company registers.
- Provide internal legal guidance on day-to-day queries relating to corporate matters, contracts, and governance.

**Requirements**:

- Doctor of Laws (LL.D.) or Master of Advocacy (M.Adv.) from the University of Malta (or equivalent).
- Over 8 years’ post-qualification experience in corporate law.
- Strong knowledge of Maltese corporate and commercial law.
- Experience in corporate governance, company secretarial matters, and group structuring.
- Excellent command of Maltese and English (both written and spoken).
- Strong drafting, analytical, and negotiation skills.
- Ability to work independently and handle multiple projects with accuracy and efficiency.
- Strong interpersonal and communication skills with the ability to liaise effectively with senior stakeholders.
