Job Description
We are seeking a proactive and commercially minded Legal Officer with 3–5 years of experience in corporate law to join our team. The successful candidate will provide legal advice and support across the
business, with a particular focus on commercial contracts, payment systems, financial settlements, and
other legal matters relevant to a fast-paced corporate environment.
Key Responsibilities
• Contract Management: Draft, review, negotiate, and manage a wide range of commercial contracts, including vendor agreements, service-level agreements (SLAs), NDAs, and partnership agreements.
• Payment Systems & Settlements: Provide legal advice and support on matters related to payment systems, transaction processing, settlements, and compliance with applicable financial and regulatory frameworks.
• Regulatory Compliance and Data Protection: Ensure compliance with relevant laws, regulations, and industry standards, including data protection and financial services regulations.
• Risk Management: Identify potential legal risks, propose mitigation strategies, and collaborate with internal stakeholders to maintain risk-aware business operations.
• Dispute Resolution: Manage and support dispute resolution processes, including pre-litigation guidance, settlement negotiations, and coordination with external counsel as required.
• Corporate Governance: Support the organization's governance framework by preparing board resolutions, maintaining corporate records, and advising on legal entity management.
• Cross-functional Support: Collaborate with Finance, Operations, Compliance, HR, and Business Development teams to provide integrated legal support across the organization.
• Training & Policies: Develop and deliver internal training on legal and regulatory matters, and draft or update company policies and procedures.
Key Requirements
• Professional Qualification: Attorney-at-Law (Sri Lanka) and holder of a Bachelor of Laws (LL.B.) degree.
• Experience: 3–5 years of post-qualification legal experience, preferably gained through a combination of law firm and in-house corporate roles.
• Competence: Demonstrated ability to take ownership of tasks, work independently, and exercise sound judgment when making decisions aligned with business and legal considerations.
• Expertise: Proven experience in commercial contracts, payment systems, and settlement processes.
• Regulatory Knowledge: Familiarity with the legal and regulatory environment governing financial services and/or technology companies is an advantage.
• Skills: Excellent analytical, drafting, negotiation, and communication abilities.
• Work Approach: Capacity to work both independently and collaboratively in a fast-paced environment.
• Professional Qualities: Strong commercial acumen, with the ability to balance legal risk and business objectives while maintaining a high level of integrity, discretion, and professionalism.
