1. Role Overview The General Counsel will serve as the primary legal advisor to the company's Brazilian operations.This role will provide strategic legal guidance on all aspects of the business — including regulatory, corporate, labor, competition/antitrust, consumer, commercial, compliance, and litigation — to enable the successful launch and sustainable growth of the company's food delivery platform in Brazil.The GC will be part of the local leadership team and act as a trusted partner to the Country General Manager, ensuring that business strategies align with Brazilian law and global corporate governance standards.2. Key Responsibilities Strategic & Advisory Act as a key legal advisor to senior management on all strategic initiatives, expansion plans, and business partnerships in Brazil.Structure and negotiate high-value commercial contracts (restaurant, courier, and supplier agreements).Support the setup of local corporate entities and governance structures.Manage regulatory and legislative engagement with relevant authorities.Regulatory & Competition Law Advise on competition compliance with Brazilian competition/antitrust laws (Law ***********).Manage potential CADE filings, investigations, or commitments (TCCs).Manage potential court litigation of compeition law issue.Monitor digital-platform and consumer-protection regulations affecting food delivery services.Operational Legal Support Manage draft, review, and negotiate agreements with restaurants, delivery partners, payment providers, and marketing agencies.Advise on employment and contractor classification, data privacy (LGPD), and consumer law matters.Support the launch of new products and services (e.g., grocery delivery, fintech, logistics).Litigation & Dispute Management Oversee and coordinate external law firms handling litigation, consumer actions, and regulatory disputes.Establish internal processes for dispute resolution, pre-litigation negotiation, and cost control.Compliance & Ethics Develop and implement compliance programs consistent with Brazilian and global standards (anti-corruption, data protection, competition).Conduct training for employees and management on key compliance topics.Team Leadership Build and manage a local legal team.Qualifications: Bachelor's degree above in Law or a related legal field from an accredited institution, possess an active Brazilian Bar Association (OAB) license, and demonstrate extensive expertise in corporate law, commercial transactions, with a proven track record in navigating complex legal landscapes.Over 10 years working experience , demonstrate deep mastery of legal strategy and legal frameworks ,including labor regulations, consumer protection laws, data privacy and antitrust legislation; ability to identify anticompetitive practices, assess regulatory scrutiny risks, and contribute to strategic planning to ensure market compliance.Strong capability to manage litigation, arbitration, law enforcement investigation and CADE matter.Proficient in drafting, reviewing, and negotiating diverse legal documents, such as merchant partnership agreements, delivery rider contracts, platform terms of service, and dispute resolution clauses.Skilled in providing strategic legal counsel to senior management, anticipating potential legal risks, and developing robust compliance programs tailored to Brazil's dynamic regulatory environment.Strong cross-functional collaboration abilities, with experience working alongside operations, finance, and HR teams to align legal strategies with business goals and operational efficiency.Fluent in Portuguese and English.Prior experience in the tech, logistics, or food delivery sector, e-commerce,particularly with scaling operations in Brazil, is highly desirable.
