Overview:
**Hexagon PPM is looking for an Associate Division Counsel to join our G&A team in South America.**

The Associate Division Counsel will support Hexagon PPM's business in South America, reporting to the Senior Regional Division Counsel, who has the responsibility for all legal matters in the America regions. Support may additionally be required in other regions.
The role is located in **Brazil or Chile**, however the position is hybrid and there is an opportunity to work from home part of the week. Some global travel may be required as part of the role
**Responsibilities**:
- Draft, revise and negotiate software license agreements, SaaS agreements, sales agreements, services and maintenance agreements, framework agreements, reseller/partnership/distribution agreements, sub-contractor agreements, non-disclosure agreements and other agreements related to the provision of software and services.
- Reviewing and advising on tender documents, project proposals and statements of work, advising project teams on the interpretation of contracts, and resolving disputes.
- Updating of standard terms and conditions and other templates and maintaining document management systems.
- Develop and implement legal and compliance training for stakeholders.
- Ensuring customer contracts comply with corporate and divisional policies and maintaining acceptable risk standards.
- Building strong relationships with internal stakeholders, customers, vendors, and/or service providers to expedite contract negotiations.
- Staying up to date with legal and industry developments.
- Assisting with, and engaging with external counsel on, corporate, employment and property matters for regional entities.
- Being able to work in cross-border transactions.

Qualifications:
- Strong in-house commercial experience within the technology industry.
- Strong written and oral skills in English and Portuguese. Spanish is highly desired.
- Demonstrated experience in interpreting and negotiating complex regional and global contracts.
- Ability to produce consistently high-quality work with a strong attention to detail.
- Excellent time management and administration skills, with the ability to multi-task and prioritize.
- Strong PC skills, including MS Outlook, Word, Excel and PowerPoint.
- Ability to communicate effectively with internal and external stakeholders at various levels, including sales representatives, project and support managers, suppliers and senior management.
- Capable of working efficiently under pressure.
- Commercial, solution-oriented, enthusiastic and driven.
- Ability to work in a fast-paced environment, manage multiple tasks effectively and meet deadlines.
- Self-sufficient and proactive with strong business acumen.
