**_Reports to: _**Assistant General Counsel Director, International

**_Summary:_** The Senior Counsel, Brazil & LATAM, supports the company’s international businesses in Brazil and throughout the rest of LATAM, including the company’s operations in Puerto Rico. This role will serve as a key legal business partner to the GM of Brazil and LATAM, the GM of Puerto Rico and will be the primary legal point of contact for the whole LATAM region.

As such, the Senior Counsel will play a key role in developing and executing legal strategies to support the company’s commercial growth objectives. This role will also be responsible for managing all legal affairs across the region and for providing legal advice and counseling on a wide variety of commercial and corporate matters, including enterprise-wide global agreements, distribution relationships and agreements, commercial disputes, sales and marketing issues, regulatory and intellectual property matters, labor law, import/export, supply chain and tax matters and general commercial contracts.

The Senior Counsel will be expected to forge and manage substantive relationships with multiple business teams throughout the region and collaborate with other members of the Legal Department on regulatory, intellectual property, commercial, compliance, data privacy and M&A activities.

**_Primary responsibilities of the Senior Counsel:_**
- Serve as a strategic legal business partner to the GM Brazil and LATAM.
- Manage all legal affairs throughout Brazil and LATAM.
- Draft, review and negotiate commercial contracts and manage contracts related policies and procedures.
- Develop templates, guidelines and training materials in support of the Legal Department’s efforts to empower its clients with self-service tools.
- Assist with litigation, pre-litigation, regulatory and intellectual property matters, labor law, import/export, supply chain and tax matters in the region.
- Manage external counsel in region.
- Proactively research and report on changes in relevant laws, regulations and industry standards and track emerging trends.
- Provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of matters in a manner that facilitates delivery of business results.
- Contribute to an environment in which all team members are respected regardless of their individual differences and are motivated to improve both their individual and team contributions to achieve business results.

Commercial Advisor and Daily Regional Legal Support - Serve as primary advisor, manager and negotiator of all legal matters throughout the Brazil and LATAM region
- Provide strategic counseling and legal advice to business partners
- Manage the development, negotiation, and execution of agreements with suppliers, distributors and other third parties
- Manage commercial disputes and assist with arbitration and litigation matters
- Partner with other Hershey attorneys to provide “one voice to the business” on a wide-range of corporate and commercial-related matters, including supply chain, intellectual property, ethics and compliance, corporate governance, regulatory, import/export, tax and procurement
- Manage external counsel
- Participate in business team and function meetings, as needed

Self-Service Support and Training
Develop templates, guidelines and training materials in support of the Legal Department’s
efforts to empower its clients with self-service tools

**_Minimum knowledge, skills and abilities required to successfully perform major duties/responsibilities:_**
- Excellent contract drafting and negotiation skills
- Strong analytical and problem-solving abilities
- Excellent interpersonal skills and emotional intelligence
- Ability to operate autonomously as well as work collaboratively and build trust with other members of an interdisciplinary legal team and internal clients at all relevant levels within the company
- Demonstrated strong planning, organizational, analytical, and written and oral communications skills

**_Minimum Education and Experience Requirements:_**
**_Education:_**

Bachelor’s degree and Juris Doctor (J.D.) or equivalent credential from accredited law school required.
Admitted to practice by a jurisdiction in the region.
Professional proficiency in Portuguese, Spanish and English
