A highly skilled Transaction Lawyer specializes in corporate transactional work, providing expert legal advice and support to advance business goals. This is a specialist position with no team management responsibilities.

Key Responsibilities

Transactional Support:

  • Provide legal counsel on all aspects of corporate transactions, including strategic business deals and government sales.
  • Drafting, reviewing, and negotiating complex commercial agreements, managing transactions, and advising on compliance and government regulations.
  • Identify and manage legal risks associated with transactions and business operations, including government sales and bid transactions.

Advice and Counsel:

  • Responsible for managing an active portfolio of legal issues with moderate to high-risk implications and supporting the Company's transactional requirements with tailored contracts.
  • Advise on compliance with applicable laws, regulations, and policies within relevant areas.
  • Assesses legal risks and opportunities, establishes, and advocates plans to minimize risks at acceptable levels.
  • Collaborate with internal teams and external counsel, and provide training to internal clients as needed.
  • Shapes company positions regarding various legal and business matters and coordinates efforts with internal and/or external experts when necessary.

Relationship Management:

  1. Advise Legal department managers on local laws, regulations, and issues, and provide recommendations on conditions requiring escalation.
  2. Collaborate with Key Customers and mid- to senior management across various parts of the organization.
  3. Build strong relationships with peers and senior management to meet company goals and objectives.
Required Skills and Qualifications

Language: Portuguese, English, and Spanish

Legal Expertise:

  • A Juris Doctor (JD) degree and admission to the bar or Brazilian equivalent.
  • Several years of experience in a large law firm and at a multinational corporation.
  • Proven experience in corporate transactions, contracts, and other commercial deals.
  • Strong negotiation and drafting skills, effective communication of legal concepts.
  • Strong analytical and problem-solving abilities, handling complex legal issues.
  • Excellent communication and interpersonal skills, working effectively with both internal and external stakeholders.
