Job Overview

The Global Technology Legal Practice Group is a specialized legal team providing critical support to the firm's technology organization and business units on complex technology matters. The practice group offers expert legal coverage in areas such as Cloud, Data Management, Technology Transactions, Outsourcing, SaaS, Licensing Agreements, and other outsourcing agreements.

The team supports various cutting-edge initiatives, including new product development, acquisitions of all technology services, research, and external partnerships and collaborations.

Key Responsibilities

  • Develop, structure, and negotiate agreements with third parties related to technology, including intellectual property licenses, software, hardware, maintenance agreements, reseller agreements, professional services agreements, market data agreements, index license agreements, platform agreements, and cloud services contracts.
  • Craft end-to-end negotiations, navigate internal processes, and coordinate with stakeholders, partners, and clients to achieve timely and successful agreement execution.
  • Provide subject matter expertise and guidance on regulatory requirements to internal business and functional partners.
  • Support the firm's investments and acquisitions by conducting diligence on technology companies, focusing on IP, controls, privacy, and technology.
  • Foster cross-functional teams with business, compliance, and strategy partners to address novel legal issues arising from the application of new technologies in financial services.

Required Skills and Qualifications

  • Law degree or equivalent required; attorney candidates must be licensed and compliant with jurisdictional requirements prior to employment.
  • At least 1-3 years of experience as a practicing attorney in a law firm or corporate environment.
  • Demonstrated experience drafting and negotiating technology/outsourcing contracts for third-party providers, such as software licensing/support, software as a service, content licenses, reseller agreements, outsourcing, cloud, consulting, professional, and other services agreements.
  • Strong analytical, problem-solving, and legal research skills.
  • Excellent business judgment and strategic thinking.
  • Ability to independently identify issues, analyze problems, and provide viable solutions.
  • Superior verbal, written, interpersonal, organizational, and negotiation skills.
  • Capacity to work under pressure, meet deadlines, and manage multiple tasks in a high-performance environment.
  • Proven ability to follow up on assignments in a timely manner and exercise good business judgment.
  • Exceptional interpersonal skills and ability to build consensus across a global matrix organization.
