Corporate Transactional Law Specialist

A seasoned attorney specializing in corporate transactional law, providing expert legal advice and support for business operations, including strategic initiatives. This role involves drafting, reviewing, and negotiating complex commercial agreements, managing transactions, and advising on compliance and regulations.
Key Responsibilities:
Transactional Support:
- Provide counsel on all aspects of corporate transactions, including strategic business deals and sales.
- Drafting, reviewing, and negotiating a wide range of contracts and agreements, including customer sales agreements, distribution agreements, product lease agreements, loyalty program terms, master service agreements, non-disclosure agreements, licensing agreements, policies, and guidelines.
- Identify and manage legal risks associated with transactions and business operations, including government regulations and bid transactions.
Advice and Counsel:
- Responsible for managing an active portfolio of legal issues with respect to products and services with moderate to high-risk implications and supporting transactional requirements with tailored contracts.
- Advise on compliance with applicable laws, regulations, and policies within relevant areas.
- Assess legal risks and opportunities, establish and advocate plans to minimize risks at levels acceptable to businesses supported.
- Collaborate with internal teams and external counsel, and provide training as needed.
- Shape and advocate company positions regarding legal and business matters.
- Coordinate efforts with internal and/or external experts when appropriate.
- Communicate business risk tolerance to outside counsel for optimal outcomes.
Relationship Management:
- Advise managers on local laws, regulations, and issues, and provide recommendations on problematic conditions that require escalation.
- Collaborate with key customers and mid- to senior management across various parts of the organization, emphasizing support for those involved in industrial sales, finance, tax, import/export, and EAI and Seiko Epson Legal/Compliance.
- Build strong relationships with peers and senior management to meet company goals and objectives.
Department Management:
- Operate within budget constraints.
- Develop and maintain written departmental standards and procedures.
