We are seeking a **Senior Corporate Counsel** to join the Legal department’s Americas team. This individual will work in a hybrid system (office and remotely) in São Paulo, Brazil.

**Position Summary**

The Senior Corporate Counsel will have primary responsibility for negotiating a wide variety of the company’s commercial transactions, including client services agreements, vendor agreements, and other significant commercial transactions in Brazil. The Senior Corporate Counsel will ensure that the company’s commercial transactions receive appropriate review by the Legal department and other departments as necessary (e.g., Finance, Compliance, Service Delivery, etc.), are compliant with company’s policies and risk tolerances, and reflect the best practices of in-house commercial transactions legal teams.

The Senior Corporate Counsel will also be responsible for other generalist legal services and advice in all fields of law, as needed based on Rimini Street’s diverse and evolving needs in the country.

This position will report to the VP & Assistant General Counsel, Americas in Brazil.

**Essential Duties and Responsibilities**
- Draft, review, negotiate and close a wide variety of commercial contracts with the company’s clients, strategic partners and vendors
- Work closely with business partners in Sales, Marketing, IT, Service Delivery and other organizations within Rimini Street to successfully close transactions in a manner consistent with company’s policies and best interests, functioning as a reliable business partner and primary point of contact to these functions in Brazil
- Use business acumen and contractual expertise to guide business sponsors on important considerations and decisions relating to the business and legal requirements of the contract
- Provide other legal services and advice to the company as needed

Qualifications/Skills/Experience**:Education**
- Graduate of an accredited law school and currently admitted to practice law in Brazil
**Location**
- São Paulo - Hybrid: Office and Remotely
**Experience**
- At least 12 years of relevant experience as an attorney with focus on commercial transactions in private practice, in-house, or a mix of both (or equivalent experience)
**Skills**
- Experience and demonstrated competence in complex commercial contracting and transactions practice management
- Experience with both private and public companies preferred
- Familiarity with tech or IP industry preferred
- Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on Rimini Street’s diverse and evolving needs
- Exceptional written and verbal communications skills
- Fluency in English, both written and verbal. Fluency in Spanish preferred
- Excellent judgment and sound decision-making
- Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel
- Ability to work both independently as well as collaboratively as a team player
- Excellent analytical and problem-solving skills
- Ability to manage multiple priorities with a “can do” attitude and collegial, collaborative tone
- Proactive, organized, self-motivated and self-disciplined work ethic, with the ability to re-prioritize in “real time” when faced with competing pressures and demands on time
- Ability to succeed in a fast-paced, emerging tech company environment
- Experience supporting an internal sales organization strongly preferred
- Experience working for a tech company preferred
- Experience handling intellectual property and professional technology issues preferred
- Experience working remotely from a home office a plus
- Outgoing and confident personality, friendly demeanor, positive attitude and great sense of humor
- Occasional domestic and international travel required
