Legal Counsel

**The Role**:
This Legal Counsel position will provide professional, timely, risk-based and fit-for-purpose legal advice and support to i.
corporate activities with respect to all Lines of Business in Brazil (Upstream, Trading & Supply, Downstream and Integrated Gas) and its specific entities; and ii.
general contractual and regulatory support to Trading and Supply (Crude Oil, Products, Gas and Power), Integrated Gas, New Energies (Solar, Wind and NBS).
This may also be asked to assist with all other aspects of Shell Group's projects and operations in Brazil.
Work allocation across lines of business will be directed by the Managing Counsel - Trading and Downstream Brazil, considering professional experience brought to the role, business needs and continuity, value/risk assessment, demand management and development considerations, among others.
**What's the role?
**
- Provides legal advice in connection with all corporate matters, including the incorporation of the entities, amendments to its by-laws, joint venture governance issues, in Brazil
- Provides legal support on negotiations of several corporate transactions, including MoUs, JCAs, SHAs, SPAs, project finance and public auctions
- Supports the Business to assess and develop new businesses and products in country, including with the incorporation and dissolution of corporate entities
- Delivers general business and industry regulatory legal advice and assists in drafting and negotiating various commercial contracts
- Advises on other laws and regulations affecting such Businesses in Brazil, including corporate law, commercial contracts, ethics and compliance, administrative law and regulation, and environmental law
- Ensures appropriate legal and commercial structures and solutions and deal strategies are considered and implemented, and legal documents are soundly drafted to reflect commercial decisions, at all times in manner consistent with the highest professional standards, legal and contractual obligations, Shell Group General Business Principles and Shell Control Framework
- Obtains internal legal functional assurance and support for business opportunities, acting as the integrator lawyer, ensuring that the principal legal risks and mitigating measures have been identified and adequately mitigated and described in the proposal, whilst early involving other relevant lawyers and Subject Matter Experts in Shell Legal who may work on the legal aspects of the proposal in their relevant fields of expertise
- Works closely with Ethics & Compliance team in conducting integrity due diligences and addressing red flags, and advising on ABC, AML, Trade Controls, Data Privacy and Antitrust matters
- Provides advice in connection with, or otherwise participate in, key engagements with regulatory agencies and other stakeholders
- Contributes to a positive, proactive culture encouraging high performance and collaboration
- Takes active role in knowledge sharing and capability building of Brazil team members
- Close connection with Shell global lawyers from different departments
**_ What we need from you - _**
- Must have legal authorization to work in the Brazil on a full-time basis for anyone other than current employer
- Bachelor's in law (admitted to practice with Brazilian Bar Association is mandatory)
- Strong knowledge of corporate matters, preferably with joint venture governance issues
- Strong knowledge of civil and administrative law and contract matters
- Good negotiation and drafting skills; drafts and interprets the relevant contracts and agreements in practice, and produce clear analysis of the relevant commercial, business and legal risks and opportunities for the business and functional colleagues and advises them on how best to manage such risks; has sufficient knowledge of the Businesses to be able to draft customized documentation that takes into account unique risks and features of the business activities
- Understands the Businesses strategy and how Legal best contributes to shaping business direction and co-creating value for Shell Group; understands the critical relationships within the Business/Function and whom to engage in various situations
- Manages and influences internal/external stakeholders, under Managing Counsel supervision, and works diplomatically through difficult relationship problems and facilitates resolution of conflicts
- Ability to work under pressure, excellent prioritization and time management skills and ability to diplomatically say "no" to low risk or non-value-added activities and demands
- Occasional domestic and international travel may be required
