Senior Lawyer – Corporate Governance and Capital Markets

- Provide strategic legal advice to senior leadership, focusing on corporate, contractual and regulatory matters.
- Support and lead matters related to Corporate Governance and Corporate Law, including support to boards, committees and the structuring of governance bodies.
- Draft, review and negotiate contracts, especially financial contracts and instruments linked to the capital markets.
- Work on corporate transactions such as debt raisings, public offerings, M&A, reorganizations and corporate restructurings.
- Ensure regulatory compliance with the competent authorities, monitoring applicable legislation, rules and guidance.
- Prepare legal opinions, memoranda and legal presentations to support decision‑making. Requirements
- Law degree completed, with active registration in the OAB/PR.
- Proven solid experience in Corporate Governance and Corporate Law.
- In‑depth knowledge of corporate legislation (Brazilian Corporation Law – Lei das S.
A., Civil Code, among others).
- Practical experience in complex corporate transactions (capital raisings, M&A, public offerings, restructurings).
- Experience in contract work, with a focus on financial contracts.
- Advanced knowledge of Microsoft Office. Differentials
- Prior experience in a company’s in‑house legal department, preferably a minimum of 2 years.
- Postgraduate degree or specialization in Corporate Law, Corporate Governance or related areas.
- Intermediate or advanced English.
