We are searching for the best talent for a** Legal Manager for Tax Litigation and Corporate Matters** based in **São Paulo, Brazil**.
**Purpose**:
This attorney will be the responsible for the management of Tax Litigation of J&J Group in Brazil, assuring effective and efficiency related to the tax litigation portfolio, with accurate assessment of risks, reserves and tax implications, granting the proper controllership of the cases, collaborating with legal external counsel, when necessary. And, supporting the litigation team in advising clients on various legal issues, collaborating with team members and Partners on legal projects.
This role is also responsible for supporting corporate matters (By Laws, PoA, Legal Entities representation, etc.).
**You will be responsible for**:
- Provides operational support across Litigation Practice Groups related to tax litigation cases.
- Manage Tax Litigation area assuring effective and efficient related to the tax litigation portfolio, with accurate assessment of litigation risks, reserves, and tax implications in different sorts of matters, granting the proper controllership of the cases.
- Capture tax litigation opportunities enhancing positive cash or P&L impact to the business.
- Providing advice on tax matters, especially to Tax, Finance, Accounting and HR teams with guidance, ensuring analysis, and providing legal support in tax inspections (pre-litigation phase), and working with management to assess tax effectiveness and alternatives to maximize value to the company.
- Manage the procedure related to obtain the Tax Clearence Certificates.
- Attending internal and external meetings representing the interest of the company (eg. Trade/ Sector Association, Committees and Congresses, etc.).
- Support and advise on complex tax litigation legal matters for J&J, partnering with business, functional clients, and with outside counsel, supporting business opportunities while ensuring compliance with applicable legislation, industry guidelines and internal policies.
- Manage outside counsel relationships. Retain and supervise outside counsel, define project objectives, and manage projects where external legal expertise and resources are required.
- Support internal audits related to Tax Litigation and Corporate matters by providing documents and explanations related to audit requests, reviewing findings and developing action plans to address any issues.
- Responsible for ensuring the corporate governance of legal entities located in Brazil (By Laws, PoA, Legal Entities representation, etc.), including preparing and reviewing of drafts of articles of Association, shareholder meetings, and record keeping. And also responsible for consultancy in Corporate Law.
- Responsible for achieving company legal objectives by gathering pertinent information, identifying and evaluating options, and choosing a course of action.
- Facilitates interactions with potential stakeholders.
- Support financial oversight by outside counsel throughout the stages of litigation cases.
- Coach and trains junior colleagues in techniques, processes, and responsibilities.
- Integrate Johnson & Johnson's Credo and Leadership Imperatives into team goals and decision making.
**Requirements**:
- Individual contributor who works independently with mínimal supervision.
- Adheres to established confidentiality, privacy, and safety guidelines
- In house attorney with experience in Tax Litigation and Corporate Matters with experience in private practice in the industry.
- Proven ability to provide outstanding legal services to, and interact with, a range of senior executives and authorities.
- Strong interpersonal, communication, leadership and teamwork skills, and an excellent track record of collaboration with colleagues.
- Business oriented with an ability to work with business colleagues to identify and implement practical solutions, including, where appropriate, litigation.
- Proven example of highest ethical, legal and compliance standards.
**Qualifications**
- Academic Background:
Graduation in Law with BAR approval (required)
Master in Tax
- Languages: Fluency in English.
- Experience: At least 8 years of relevant experience in tax litigation; Healthcare industry experience (a plus).
