Legal function is combine with Corporate Governance and Secreteriat (CGS), offering a efficient operating model between the two functions to better support the Global Business and Functions in HBBZ.

The Company Secretarial function leads, develops and manages corporate governance throughout HBBZ.

As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.


Additionally, Global Legal plays an important role in protecting the Group's reputation by helping to future-proof the organisation through robust legal risk and issue advisory.

Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.

We are currently seeking a high calibre professional to join our team as Associate General Counsel.

Job Purpose _(overall high level summary of the role)_


In general, the individual shall be able to provide expert and professional legal advice, guidance and support to ensure that the legal and reputational risk faced by the country are identified, reported and mitigated.


  • Understand the key aspects of Wholesale business and provide legal support and clear, commercial, riskmitigated advice to the business to Wholesale business in Brazil, including but not limited to Markets Securities Services, Global Trade and Receivables Finance and Global Payments Solutions, particularly in relation to the new initiatives, such new products or projects related to RTB (run the bank);
  • Provide legal support to Human Resources for any aspects related to Employement Legal and Litigation or agreements;
  • Provide daytoday support to regional teams of CGS, act as secretary of board committees, write policies and procedures and provide executive guidance, including holding presentations to the Exco and other relevant stakeholders;
  • Provide guidance to support HBBZ's growth initiatives including Global or Regional projects/ propositions;
  • Represent Legal Function on the Legislative and Regulatory Committee, tracking and monitoring any new laws and regulations that impact HBBZ activities;
  • Represent Legal Function on the Business Continuity Committee of MSS;
  • Champion Legal Risk Management, coordinating the the Monthly report to LAM region and perform other steward roles required by Legal Policy;

Principal Responsibilities
Provide legal support and guidance to key stakeholders including:

  • Providing advice to business, operations and other stakeholders with respect to all Wholesale related matters including customer onboarding and matters arising from the account lifecycle, the Bank's standard terms and conditions, dealing with the Bank's counterparties, assessing the risks arising from the change in the Bank's policies and processes and the development;
  • Facilitating the Bank's response to law enforcement enquiries and court orders;
  • Identifying and escalating risks with respect to ongoing and any new business initiatives, and ensuring that the business exposure to legal and regulatory risk is managed in a commercially sensitive and practical matter;
  • Working closely with CGS team in the region, including advising on matters that are complex or have potential for significant governance, legal, financial, and/or reputational impact;
  • Providing governance guidance to other functions and businesses regarding expected CGS policies of HSBC Group;
  • Working with other second line of defence functions (Regulatory Compliance, Risk) to identify and manage risks arising out of the business and functions;
  • Assisting and collaborating with the wider CGS and Legal team in any relevant matter to HBBZ or HSBC Group;
  • It is expected that the jobholder will attend governance meetings as secretary or as a legal representative, such as the Risk Committee, the Business Control Committee, the Audit Committee and other similar governance _fora_.
  • The jobholder must exercise her/his judgment to promptly escalate any significant matters to the HBBZ General Counsel.
  • The jobholder will be required to report on the legal risks arising out of the Wholesale Business to the HBBZ General Counsel and will be accountable for setting and monitoring action plans and remediation activities. The jobholders will be assigned formal risk management roles within HSBC's Operational Risk and will be required to have a deep understanding of the framework to be able to effectively challenge Risk Owners and to manage legal risks, both as First Line as Second Line of Defense.
