We are in search of a highly proficient and collaborative Senior Commercial Counsel, who will report to our Managing Commercial Counsel. This role involves the review, drafting, revision, negotiation, and advisory on a substantial volume of sales agreements and a wide array of intricate commercial transactions. This position is tailored for an individual who excels in closing deals. It presents a unique chance to be part of a dedicated legal team that plays a pivotal role in delivering fraud detection and prevention solutions to merchants globally.

Your primary focus will be to support our global sales team in the LATAM region (mainly Mexico and Brazil) by structuring, drafting, and negotiating various go-to-market agreements. Additionally, you will collaborate closely with other essential stakeholders to structure and negotiate complex, often customized agreements for LATAM.

The ideal candidate will be a mid-level to senior attorney who thrives in a collaborative environment with legal and sales teams, approaching legal challenges with practicality and a problem-solving mindset.

Key Responsibilities:

  • Expertly draft and negotiate a variety of commercial transactions while working closely with our Sales team to finalize revenue-generating deals.
  • Create unique bespoke agreements, often from the ground up.
  • Provide support to other cross-functional teams, including marketing, partnerships, and product, on commercial and vendor transactions.
  • Assist with additional legal projects as needed to facilitate Signifyd's rapid growth and expansion.
  • Manage multiple projects concurrently while adhering to deadlines and pressure.
  • Apply sound legal judgment and practical problem-solving abilities.
  • Engage in other legal projects as assigned.
  • Strategically consider ways to enhance operational efficiency within the region.

Qualifications:

  • Bachelor’s degree in Law with an active legal license.
  • 4-8+ years of experience, with a robust background in commercial contracts, technology transactions, and revenue-generating agreements.
  • Proficiency in conducting commercial negotiations in Spanish and Portuguese.
  • A clear and concise communicator capable of simplifying complex legal issues.
  • A practical approach to drafting and negotiating, with the ability to think strategically and creatively to finalize deals.
  • Experience supporting a global sales organization and managing a steady volume of commercial transactions in a dynamic, high-growth environment.
  • Familiarity with working for a U.S.-based company.
  • Strong organizational and project management capabilities.
  • Comfort in working within lean teams and taking on multiple roles.
  • Ability to effectively manage workload and priorities with minimal oversight.
  • A team player with a problem-solving attitude and a good sense of humor.

Preferred Qualifications:

  • Knowledge of (i) SaaS agreements (ii) payments, fintech, or financial institutions and/or (iii) machine learning models.
  • Experience in supporting sales for enterprise SaaS, particularly in negotiating referral and partnership agreements.
  • Familiarity with global privacy regulations (i.e., GDPR, CCPA, LGPD).
  • LLM from a U.S. accredited law school.
