Job Opportunity

This role involves overseeing the legal aspects of corporate governance. You will be responsible for managing subsidiary legal entities, drafting materials for Board meetings, and performing corporate governance legal research.

A key aspect of this position is ensuring compliance with regulatory requirements. This includes making necessary filings with state authorities and maintaining accurate records.

  • Manage subsidiary legal entities from a corporate secretary and governance perspective.
  • Draft agendas, resolutions, consents, executive summaries, and minutes for Board meetings.
  • Conduct in-depth analysis of state and federal corporate laws to ensure compliance.

The ideal candidate will have 2-3 years of legal experience, preferably in corporate governance. Familiarity with Delaware and New York corporate law is required.
