Legal Advisor for Investment Banking

Job Overview:

  • We are seeking a highly skilled Legal Advisor to join our Investment Banking team. The successful candidate will be responsible for reviewing, negotiating and drafting legal agreements for investment banking transactions.
  • The ideal candidate will have excellent communication skills and the ability to work closely with internal stakeholders, including senior management and members of the Board of Directors.

Key Responsibilities:

  • Review, negotiate and draft legal agreements for investment banking transactions related to capital markets deals, NDAs, indemnification agreements, advisory services agreements, brokerage and give-up agreements, complex Global Markets transactions and new products.
  • Involve in all phases of public offerings, such as due diligence and financial audit calls, drafting sessions, legal analysis, review and discussion of agreements, comfort letters, steering calls, pre-filing calls, etc.
  • Support demands related to Supply Chain.
  • Advise and report legal risks of the banking activities.

Requirements:

  • Lawyer bachelor's degree (OAB certificate)
  • +5 years in a similar role within banking, capital markets or M&A industry
  • Knowledge about corporate governance
  • Ideally advanced English skills
  • Excellent communication skills and ability to interact with different colleagues, clients, and stakeholders
  • Ability to advise and communicate effectively with senior management, members of the Board of Directors, and Regulators

Work Environment:

Our IB Legal team is based in Sao Paulo, Brazil. We provide advice and support in all legal matters to our Investment Banking at UBS BB.
