A highly skilled Transaction Lawyer specializes in corporate transactional work, providing expert legal advice and support to advance business goals.
This is a specialist position with no team management responsibilities.Key ResponsibilitiesTransactional Support:Provide legal counsel on all aspects of corporate transactions, including strategic business deals and government sales.Drafting, reviewing, and negotiating complex commercial agreements, managing transactions, and advising on compliance and government regulations.Identify and manage legal risks associated with transactions and business operations, including government sales and bid transactions.Advice and Counsel:Responsible for managing an active portfolio of legal issues with moderate to high-risk implications and supporting the Company's transactional requirements with tailored contracts.Advise on compliance with applicable laws, regulations, and policies within relevant areas.Assesses legal risks and opportunities, establishes, and advocates plans to minimize risks at acceptable levels.Collaborate with internal teams and external counsel, and provide training to internal clients as needed.Shapes company positions regarding various legal and business matters and coordinates efforts with internal and/or external experts when necessary.Relationship Management:Advise Legal department managers on local laws, regulations, and issues, and provide recommendations on conditions requiring escalation.Collaborate with Key Customers and mid- to senior management across various parts of the organization.Build strong relationships with peers and senior management to meet company goals and objectives.Required Skills and QualificationsLanguage: Portuguese, English, and SpanishLegal Expertise:A Juris Doctor (JD) degree and admission to the bar or Brazilian equivalent.Several years of experience in a large law firm and at a multinational corporation.Proven experience in corporate transactions, contracts, and other commercial deals.Strong negotiation and drafting skills, effective communication of legal concepts.Strong analytical and problem-solving abilities, handling complex legal issues.Excellent communication and interpersonal skills, working effectively with both internal and external stakeholders.
