Legal Manager

- Management of Tax & Corporate Litigation area, assuring effective and efficient tax litigation portfolio management, with the possibility of also supporting civil and commercial litigation and related activities
- Provides advice on legal matters, especially to Tax, Finance and Accounting, HR functions, working with management to assess tax effectiveness and alternatives to maximize value to the company
- Accurate and proper assessment of litigation risks, provisions, and tax implications in different sorts of matters
- Provide support on the management of civil, labor, and criminal litigation
- Support litigation controllership processes and team
- Provide analysis and legal counsel on Corporate Matters, advising company personnel to help develop solutions to a variety of complex problems, keeping the company and/or business units compliant by anticipating and helping to circumvent problems. Management of the corporate acts, shareholders meetings, article of association, and power of attorneys
- Business partner with Tax Department to capture tax opportunities through litigation (enhancing positive cash or P&L impact to the business), ensuring analysis and correction of tax litigation root causes and providing support and legal guidance on tax audit (pre-litigation phase) to minimize the impact of the tax claims
- Lead tax clearance certificate proceedings
- Ensures sound counsel is provided to clients and leads processes to keep them up to date on new laws and regulations applicable to the business.
- Oversee negotiations and review drafts of applicable agreements, especially those related to tax matters and Law Department providers.
- Ensure that all standard operating procedures are current, accurate, and complete
- Develop appropriate legal policies, procedures, and guidelines
- Be updated on the training agenda (summit, compliance wire, and leadership internal programs) and on legal education by attending seminars and keeping track of tax legislation changes
- Provide managing/Coaching/Mentoring for Direct and Indirect Reports
- Attend meetings and represent the company on Trade Associations and other external committees and congresses, defending the company´s interests

**Qualifications** Position Requirements**:

- Bacharel em Direito (Bachelor of Laws) degree, Juris Doctor degree, or equivalent.
- Passed the bar exam and currently licensed
- At least 8 years of experience in tax, civil and corporate law (litigation and advisory), and a generalist view of business law
- Current or latest work experience as an in-house legal manager in large corporations, with generalist experience
- Fluency in English and advanced level in Spanish
- Ability to solve conflicts, set the right priorities, and allocate resources accordingly
- Desirable to have financial/accounting knowledge in order to monthly inform and support Accounting Department & business regarding all tax cases according to the risks and the values involved

- Highly motivated and enthusiastic with demonstrated initiative, adaptability, and integrity, even in the face of difficulties or challenging situations
- Strong interpersonal and verbal communication skills are a must
- Strong writing and communication skills along with attention to detail
- Ability to execute tasks independently with mínimal instruction or oversight and to work comfortably as part of a team
