Key Responsibilities

  1. Legal Compliance & Risk Management:

Continuously monitor, interpret, and analyze the latest Brazilian laws, regulations, and regulatory policies (including but not limited to Corporate, Tax, Labor, Customs, Consumer Protection, Data Protection laws, etc.), providing proactive compliance advice and early risk warnings to management.

Establish and improve the company's internal compliance system and risk control processes.

Handle matters related to government regulatory agencies.

  1. Contract Management & Review:

Draft, review, negotiate, and revise various company contracts and legal documents in Portuguese/English-Portuguese, including international sales contracts, distribution agreements, transportation & logistics contracts, procurement agreements, service contracts, NDAs, etc.

Develop a standard contract library and provide contract law training to business teams.

Manage contract performance, ensure compliance with terms, and handle contract disputes.

  1. Corporate Governance & Entity Management:

Handle day-to-day corporate governance matters for the Brazilian subsidiary and affiliated entities, including organizing Board and Shareholders' meetings and preparing relevant documents.

Ensure the timely renewal and validity of company business licenses, qualifications, and permits.

Manage legal matters related to company incorporation, changes, and dissolution.

  1. Trade & Customs Affairs:

Be deeply involved in international trade processes, ensuring import/export operations comply with Brazilian customs regulations and foreign exchange control requirements.

Provide legal advice on Incoterms, certificates of origin, tariffs, and related issues.

Assist in handling customs audits, inquiries, or penalties.

  1. Dispute Resolution & Litigation Management:

Represent the company in litigation, arbitration, and mediation cases related to labor, commercial, civil, and other areas.

Manage external legal counsel, effectively controlling the cost and progress of legal disputes.

Develop and execute litigation strategies to protect the company's interests.

  1. Labor Law & HR Support:

Provide comprehensive Brazilian Labor Law support to the HR department, reviewing employment contracts, company policies, etc.

Address potential legal risks in employee relations and provide professional advice on terminations, labor disputes, etc.

  1. Intellectual Property Protection:

Oversee the registration, maintenance, and protection of the company's intellectual property rights (trademarks, patents) in Brazil.

Monitor the market to prevent and handle IP infringement activities.

Qualifications

Essential Requirements:

Bachelor's degree in Law or higher, holding a valid Brazilian OAB license.

Minimum of 5 years of relevant legal experience within a Brazilian company or law firm; experience in international trade, logistics, or manufacturing sectors is highly preferred.

In-depth knowledge of Brazilian Corporate, Civil, Contract, Tax, and Labor Law; strong understanding of Customs regulations and Data Protection Law (LGPD).

Excellent contract drafting, review, and negotiation skills with strong attention to detail.

Outstanding legal research, analytical, and problem-solving abilities.

Strong business acumen and strategic thinking, capable of aligning legal advice with business objectives.

Fluency in Portuguese and English (written and spoken); **Proficiency in Chinese is a significant plus for communication with headquarters or APAC teams.

Excellent communication, coordination, and interpersonal skills, with the ability to work effectively with internal and external teams at different levels.
