Job Overview

We are seeking an attorney to support subsidiary corporate governance and processes for a Consumer Banking line of business. The role will involve managing legal entities from a corporate secretary and governance perspective.

Main Responsibilities
  • Manage the legal structure of our subsidiaries, including board meetings and signing authorities.
  • Assist with delegations of authority and appointment of officers.
  • Perform corporate governance research and analysis of state and federal laws.
  • Maintain compliance with regulatory requirements, including corporate filings.
Requirements
  • Juris Doctor or equivalent law degree required.
  • Familiarity with Delaware and New York corporate law necessary.
  • Attorney must be licensed to practice law and a member in good standing.
Preferred Qualifications
  • 2-3 years of experience in a similar role.
  • Corporate governance expertise highly valued.
