Contract Lawyer for Dynamic Legal Department

Responsibilities:- Draft, review, and negotiate various commercial agreements, including:
- Master Services Agreements (MSAs)
- Client engagement letters
- Supplier/vendor agreements
- Software development and technology contracts involving AI and GenAI
- Complex commercial agreements tied to performance or measurable metrics
- Data processing agreements
- Non-disclosure agreements
- Non-reliance letters
- Public Sector RFPs (Government and State Owned Entities)
- Conduct thorough legal risk assessments according to policies and procedures.
- Support contract escalations and approval processes.
- Ensure compliance with local laws and internal governance frameworks.
- Coordinate with internal stakeholders and external counsel as needed.
- Assist in the development and refinement of legal templates and best practices.
- Analyze contracts involving intellectual property and software development, data privacy and security, value-based pricing arrangements, and public sector RFPs.
Requirements and Qualifications:
- Fluent in Portuguese (native level) and business-proficient in English, with confidence and accuracy in drafting and negotiating contracts in both languages.
- A qualified lawyer in Brazil with active OAB registration, holding a minimum of 5 years post-graduation experience.
- Prior experience working in-house or on secondment to multinational clients is highly desirable.
- Demonstrated ability to draft, review, and negotiate a wide-range of commercial agreements independently.
- Comfortable working in a fast-paced, service-oriented environment, prioritizing work across multiple stakeholders.
- Strong interpersonal skills and client service mindset, functioning as an integrated part of an in-house legal team.
- Optional but preferred: Experience advising on public sector contracting or familiarity with Brazil's public procurement framework.
