Position Overview

This role is a vital part of the Corporate Legal Team, collaborating with team members to deliver legal support primarily for entity management, including compliance with statutory obligations, governance, and sustainability reporting. The ideal candidate will be detail-oriented, confident, professional, and proactive. They should possess the ability to work both collaboratively and independently, and be comfortable interacting with attorneys and executives.

Key Responsibilities

Regarding the paralegal's entity portfolio:

  • Manage Corporate Governance and Compliance: Ensure corporate obligations are met, maintain good standing for entities, and manage officer and director records in line with corporate policies and jurisdictional requirements.
  • Coordinate and Document Corporate Activities: Organize meetings for directors and shareholders, draft necessary corporate documents, and maintain corporate records and databases.
  • Support Transactions and Legal Operations: Assist legal, compliance, finance, and tax teams with various transactions, including mergers and acquisitions, financing, and corporate administrative tasks.

In relation to the Corporate Legal Team and Sustainability Reporting:

  • Corporate Legal Team: Aid in drafting, implementing, and reviewing corporate governance policies to ensure compliance with relevant legislation; manage external counsel and budgeting.
  • Sustainability Reporting: Demonstrate a strong understanding of sustainability metrics and data management; provide key inputs for sustainability reporting and corporate communications.

Qualifications

  • Bachelor's degree or equivalent.
  • Paralegal certificate from an accredited program preferred.
  • Minimum of 5 years of experience as a Corporate Paralegal or in entity management; in-house or top-tier law firm experience preferred.
  • Experience in corporate governance and sustainability reporting.
  • Advanced proficiency in MS Office Suite and Adobe Acrobat.
  • Proficient in written and verbal English; proficiency in French or Portuguese preferred.
  • Texas Notary certification.
  • Experience with Serengeti Legal Tracker and hCue is a plus.
